KLBC Activities Report for November and December 2015

12 November 2015
Pupils Introduction Session
A monthly session organised by the KLBC Pupils Committee, the Pupils Introduction Session was held on 12 November 2015. The session, attended by 69 pupils, was led by Shashi Devan who provided pupils with inter alia, an overview of the structure of the Malaysian Bar and the Kuala Lumpur Bar, the election process of the Bar Council and the Kuala Lumpur Bar Committee (KLBC) and highlights of the Malaysian Bar. The pupils were also provided an opportunity to raise issues and problems faced during their pupillage period. Some members of the KLBC were present to provide input and possible solutions. As is in previous sessions, the pupils were also shown a historical video montage of the Malaysian Bar.

YLC Seminar on Legal Due Diligence: The Necessary Evil Of Merger And Acquisitions
Organised by the KLBC Young Lawyers Committee (YLC), this seminar was presented by Addy Herg on 13 November 2015 at the KL Bar Auditorium from 3:00 pm to 5:00 pm. The seminar was attended by 69 participants. The seminar covered the following topics, "Introduction"; "Purpose of Legal Due Diligence"; "Understanding the objectives"; "The various aspects of legal due diligence investigations"; "Connecting the dots"; "Legal analysis and legal opinion"; "The applicable law and legal documents"; "Risk management and documentation"; "Accomplishing the objective"; and "Updates and improvement".

PDC Seminar on How To Read And Understand YOUR Firm’s Financial Statements 
Organised by the KLBC Professional Development Committee (PDC), this seminar was presented by Lim Kien Chai on 17 November 2015 at the KL Bar Auditorium from 2:30 pm to 4:30 pm. The seminar was attended by 15 participants. The seminar guided participants through the financial statements of a typical law firm.

YLC Seminar on Blowing And Trolling – Internet Freedom In Malaysia 
Organised by the KLBC Young Lawyers Committee (YLC), this seminar was presented by New Sin Yew on 20 November 2015 at the KL Bar Auditorium from 2:30 pm to 4:30 pm. The seminar was attended by 20 participants. The seminar covered the following topics, "Fundamental liberties and the Federal Constitution"; "Interpretation of the Constitution"; "The Sedition Act 1948"; "Communications and Multimedia Act 1998 – Blocking of websites and improper use of network service"; "Penal Code – Extra territorial offences, offences against the State and use of SOSMA"; "Criminal Procedure Code – Computerised data and interception of communication"; "Evidence Act – Reversal of burden of proof"; and "Case study – BFM Kupas Hudud Isi Periuk Nasi case, Sarawak Report website ban, Bersih 2.0 website ban, Alvivi’s case, Ali Abd Jalil’s case and other internet related cases".

YLC Seminar on Marriages, Relationships And Women’s Rights 
Organised by the KLBC Young Lawyers Committee (YLC), this seminar was presented by Honey Tan Lay Ean on 20 November 2015 at the KL Bar Auditorium from 5:30 pm to 7:00 pm. The seminar was attended by 33 participants. The seminar started with a brief history of the Law Reform (Marriage & Divorce) Act 1976 before delving into how marriage affects a woman’s rights.

Meeting with the Wilayah Land Office 
The meeting was held on 24 November 2015 at 2:30 pm. KLBC was represented by the Chairman, Ravin Singh, the Honorary Secretary, Goh Siu Lin and the Corporate and Conveyancing Practice Committee Chairperson, Jacky Loi. CCPC members, Sarah Kambali and Ow Hui Ching were also in attendance. The meeting was chaired by Tuan Haji Mohd Haniff bin Hassan, Director of the Wilayah Land Office. Notes of the meeting will be circulated in due course.

PDC Seminar on Drafting Commercial Contracts 
Organised by the KLBC Professional Development Committee (PDC), this seminar was presented by Jeremiah R. Gurusamy on 24 November 2015 at the KL Bar Auditorium from 2:30 pm to 4:30 pm. The seminar was attended by 48 participants. The seminar covered the following topics, "Dealing with Compliance and Regulatory issues"; "Scoping the Transaction"; "Drafting Techniques"; "Understanding Key Provisions"; "Boiler Plate Clauses"; and "Common Mistakes and Pitfalls".

Corporate Workshop for Pupils
The KLBC Pupils Committee organised a Corporate Workshop specifically for pupils on 25 November 2015 at the KL Bar Auditorium from 3:00 pm to 5:30 pm. Conducted by Sheba Gumis and attended by 50 pupils, the Workshop focused primarily on the practical aspects of handling a brief covering the following areas, "Overview: Negotiation, due diligence and drafting process"; "Commercial considerations"; "Practical pointers including common mistakes when drafting"; "Salient clauses including consideration, conditions precedent, completion, etc"; "Covenants and warranties by both Vendors and Purchasers"; "Boiler plate clauses"; and "Remedies for breach of contract".

KL Bar Night 
Organised by the Social, Arts & Recreation Committee, the social event of the year, the KL Bar Annual Dinner named, “KL Bar Night”, was held on 28 November 2015 at Ciao Ristorante. Approximately 300 guests were present, including former Bar Presidents and former KLBC Chairmen. The guests were treated to a delectable buffet spread with free flow of selected beverages. The night kicked off with a stirring dhol performance followed by entertainment by a live band that played up to the night’s theme, “Celebrating any and all things which make us Malaysians”. Many of our members turned up dressed in their best traditional outfits making the night, truly a Malaysian night. Click here to view the photos.

Pupils Introduction Session
As a monthly tradition organised by the KLBC Pupils Committee, the Pupils Introduction Session for December was held on 3 December 2015. The session, attended by 66 pupils, was led by Shashi Devan. The purpose of the session is to introduce pupils to the structure of the Malaysian Bar and the Kuala Lumpur Bar, the election to both the Bar Council and the Kuala Lumpur Bar Committee (KLBC) and the highlights of the Malaysian Bar. It included a session for pupils to raise issues and problems faced by them during their pupillage period and other members of the KLBC were also present to provide input and possible solutions. Like previous sessions, the pupils were also shown a video montage of the History of the Malaysian Bar.

KL Bar Open Pool Tournament 2015 - Singles With Handicap
Organised by the KLBC Sports Committee, the above Tournament was held on 5 December 2015 at 5ive Star Snooker & Pool Club, Subang Jaya. A total of 16 players participated in the Tournament that ran from 12:00 pm to 8:00 pm on a rainy Saturday afternoon. Results were as follows: Winner – Peter-Douglas Ling; Runner-up – Sean Yeow; Semifinalist – Michael Tan, Eugene Teo; Quarterfinalists – Anand Ponnudurai, Ong Yee Shin, Khor Boon How, Mah Zhun Kit.

PDC Seminar on Acquisition and Disposal of Shares in Real Property Company of RM2-00 as the Paid-Up Capital
Organised by the KLBC Professional Development Committee (PDC), this seminar was presented by Lim Kien Chai on 8 December 2015 at the KL Bar Auditorium from 9:30 am to 4:30 pm. The seminar was attended by 15 participants. The scope of the seminar was as follows: "Revisit the business strategy of using RM2-00 paid-up company to buy and/or keep real property"; "What is Share sale in the context of a property investment company?"; "How does it differ from Asset sale by a property investment company?"; "How do you determine the price of the shares of Real Property Company?"; "How to understand and differentiate chargeable gains arising from the disposal of real property assets and from the disposal of real property company shares?"; and "How to understand and differentiate real property transactions resulting in capital or revenue gains?".

KL Bar – eLawyer Legal Career Forum
Jointly organised by the KLBC Pupils Committee and KLBC Young Lawyers Committee in collaboration with eLawyer, a legal recruitment and consultancy firm, the above Forum, which attracted 49 participants, was held on 12 December 2015 from 8:30 am to 1:30 pm at the LAC Training Room. Speaking at the Forum were Mathew Thomas Philip, Vasanthi Rasathurai and Eddie Law who shared their work experiences, the various work expectations of the different sized firms and challenges faced when setting up one’s own practice. It provided the participants who were young lawyers a better understanding of the career paths on offer. The forum was moderated by Choo Dee Wei.

CPC Seminar on Drug Trafficking: Trial and Appeal
Organised by the KLBC Criminal Practice Committee (CPC), this seminar was presented by Hisyam bin Abdullah @ Teh Poh Teik and Dato' Rajpal Singh on 12 December 2015 at the KL Bar Auditorium from 9:00 am to 2:00 pm. 15 participants attended the seminar which was moderated by Amrit Pal Singh.

1st Mini Sports Day - Kuala Lumpur Bar vs Malacca Bar
This 1st Mini Sports Day was held on 19 December 2015 at Kompleks Sukan Batu Berendam, Malacca with the Malacca Bar playing host. Three sports were played namely Badminton, Men’s Futsal and Ladies Futsal. Malacca Bar emerged winner in this inaugural series winning at Badminton (4-1) and Men’s Futsal (15-7). Kuala Lumpur Bar won at Ladies Futsal (6-2). 30 members from the Kuala Lumpur Bar Contingent attended the end-of-games dinner.

Criminal Litigation Workshop for Pupils
The KLBC Pupils Committee organised a Criminal Litigation Workshop specifically for pupils on 29 December 2015 focusing primarily on the practical aspects of handling a brief, covering the following areas, “Client Interview”; “Mitigation”; “Bail Application”; and “Trial Process”. 28 pupils attended the Workshop which was conducted by Lim Chi Chau and Farhan Read.
